Terms of Service

1. Agreement to Terms

By accessing our website or engaging EcomStride’s services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you (“Client”) and EcomStride (“we”, “us”, or “our”). Additional service-specific terms may apply and will be set out in a separate Service Agreement or Statement of Work.

2. Services

EcomStride provides Amazon e-commerce services including but not limited to:

  • Product research and hunting
  • Sourcing and supplier management
  • Listing creation and optimisation
  • Keyword research and content writing
  • PPC (Pay-Per-Click) advertising setup and management
  • Brand Registry and GTIN exemption filing
  • A+ Content and Enhanced Brand Content design
  • Amazon case management and account health monitoring
  • Inventory planning and forecasting
  • Freight forwarding and logistics coordination
  • Complete A-to-Z Amazon account management
  • Trademark and brand protection guidance

The specific services delivered, timelines, and fees for each engagement are agreed in a separate Service Agreement or proposal.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for us to deliver the agreed services
  • Grant us the access permissions required to manage your Amazon Seller Central account on your behalf
  • Ensure your Amazon account is in good standing and compliant with Amazon’s policies prior to engaging our services
  • Pay all agreed fees on time per the payment schedule in your Service Agreement
  • Review and approve deliverables within agreed timeframes
  • Notify us promptly of any changes that may affect service delivery

4. Account Access and Security

When you grant EcomStride access to your Amazon Seller Central account, you confirm that you are authorised to grant such access and that doing so does not violate any agreement you have with Amazon or any third party.

We will access your account only to the extent necessary to deliver the agreed services. We maintain strict internal controls to protect your account credentials and will never share access with unauthorised parties.

You remain solely responsible for your Amazon seller account, including compliance with Amazon’s policies. While we will use our best efforts to ensure compliance, we are not liable for account suspensions, policy violations, or other actions taken by Amazon against your account.

5. Payment Terms

Service fees are as agreed in your Service Agreement. Unless otherwise stated:

  • Invoices are payable within 7 days of issue
  • Late payments may result in service suspension
  • All fees are non-refundable once work has commenced unless otherwise agreed in writing
  • We reserve the right to adjust pricing with 30 days’ written notice for ongoing services

6. Results and No-Guarantee Disclaimer

While EcomStride has a strong track record of delivering measurable results for clients (as evidenced in our case studies), we do not guarantee specific outcomes including sales revenue, ranking positions, ACOS targets, or review counts. Amazon marketplace performance is influenced by many factors outside our control, including Amazon algorithm changes, market competition, product quality, pricing, and supply chain factors.

Past results shown on our website (including case study metrics) represent actual outcomes achieved for specific clients under specific conditions and are not guarantees of future results for any client.

7. Intellectual Property

All deliverables created by EcomStride for you (including listing copy, A+ content, keyword databases, and strategy documents) become your property upon full payment of applicable fees.

All original content, designs, and intellectual property on the EcomStride website remains our property. You may not reproduce, distribute, or create derivative works from our website content without written permission.

8. Confidentiality

Both parties agree to maintain the confidentiality of each other’s proprietary information. We will not disclose your business data, account information, or sales figures to third parties except as required to deliver our services or as required by law.

We may reference your brand name and aggregate results (e.g., “increased revenue by X%”) in our marketing materials and case studies unless you request otherwise in writing.

9. Limitation of Liability

To the maximum extent permitted by applicable law, EcomStride shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, including but not limited to lost profits, lost revenue, or loss of data.

Our total liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you to EcomStride in the 3 months preceding the claim.

10. Termination

Either party may terminate an ongoing service engagement with 30 days’ written notice. Upon termination:

  • All outstanding fees for work completed to date become immediately payable
  • We will provide you with all deliverables completed up to the termination date
  • We will remove our access to your Amazon account within 5 business days
  • Your data will be handled per our Privacy Policy

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or our services shall first be subject to good-faith negotiation between the parties.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
